CASH DEPOSIT FOR FAITHFUL PERFORMANCE

John Razumich, on behalf of Odwalle Campbell, LCC (hereinafter "Property Owner")
which has applied for a number of building permits (including BLD2017-1584)
related to the "Opals Expansion" project located at 276-280 E. Campbell Avenue,
Campbell, California (herein after "Business Owner"), is providing to the City of
Campbell, a municipal corporation under the laws of the State of California
(hereinafter "City"), the sum of FIVE THOUSAND DOLLARS ($5,000.00) as a deposit
for the faithful performance of the following obligations:
Obligation: 1) Relocate the gas manifold temporarily relocated in front of
Willard Hicks tenant space (280 E. Campbell Avenue) as forth in Exhibit A to its
previous location behind (south of) the Opals tenant space (276 E. Campbell
Avenue) and/or to a new location as may be provided for under a City of Campbell
approved/issued building permit. In consideration of the aforementioned
obligation, the gas manifold shall be relocated prior to the expiration of
building permit BLD2018-1115 and/or within 30-days of the final of building permit
BLD2018-1115. Further, to ensure timely completion of work - in no case shall more
than 60-days lapse between the issuance of comments on building permit BLD2018-
1115 and the submittal of responses to those comments.
Now, therefore, if Owner shall complete the aforementioned improvements and
if they shall satisfy all claims and demands incurred under this agreement, and
shall fully indemnify and save harmless the City from all costs and damages which
it may suffer by reason of failure to do so, and shall reimburse and repay the
City all outlay and expense which the City may in curing any default, then this
obligation shall be deemed satisfied and the full deposit shall be refunded.
If at such time, the City determines that Owner has failed to satisfy the
obligation set forth in this agreement, Business Owner and Property Owner
acknowledge and submits to forfeiture of the deposit provided herein. The
submitted deposit described within this agreement shall be used to cover all
enforcement costs incurred by the City to abate the violation (see Obligation).
Should the enforcement costs incurred for the obligation described above exceed
the original cash deposit, the City reserves the right to collect additional
monies from Owner over and above the original cash deposit or lien the property
for any uncollected balance pursuant to Campbell Municipal Code Section 21.70.070
(Code Enforcement Fees).
In witness, the parties have executed this agreement as of August 15, 2019.
