CC Resolution 13227 - Authorizing Second Amendment to Agreement with Ninyo & Moore RESOLUTION NO. 13227 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL AUTHORIZING A SECOND AMENDMENT TO THE CONSULTANT SERVICES AGREEMENT BETWEEN THE CITY AND NINYO & MOORE FOR ADDITIONAL MATERIALS TESTING AND INSPECTION SERVICES FOR THE MEASURE 0 -- POLICE OPERATIONS BUILDING (NO. 23-RR) AND LIBRARY RENOVATIONS (NO. 23-SS) PROJECTS; AND THE EXECUTION OF ANY CHANGE ORDERS UP TO AND WITHIN 20% OF THIS AMOUNT, FOR A TOTAL NOT TO EXCEED$36,542, BETWEEN BOTH PROJECTS. WHEREAS, On November 21, 2023, the City Council adopted Resolution No. 13081, approving and authorizing the City to enter into a consultant services agreement with Ninyo & Moore for materials testing and inspection services during the construction of the Measure 0 — Police Operations Building (No. 23-RR) and Library Renovations (No. 23-SS) Projects; and WHEREAS, upon contract execution, Ninyo & Moore began providing services for the Library Project in December 2023 and the Police Operations Building in February 2024; and WHEREAS, on December 20, 2023, the City executed a first amendment to the agreement authorizing an additional $6,400 in soil characterization services required for the Library Renovations Project; and WHEREAS, both the Library and PD Projects have undergone several modifications since the start of their construction, which have significantly expanded the scope of materials testing and inspection services required at each site; and WHEREAS, these modifications include, but are not limited to, soil characterization testing, additional compaction tests, expanded sidewalk replacement, extra trenching, replacement of existing concrete slabs, on-site field welding (instead of shop welding), structural changes, and roof replacements; and WHEREAS, staff worked with Griffin Structures (Griffin) —the City's construction management firm for both Measure 0 Projects — to assess the additional service needs of each project and identify practical, timely solutions that align with their respective construction schedules; and WHEREAS, staff contacted Ninyo & Moore to request a breakdown of the additional services anticipated for each project and their associated cost estimates; and WHEREAS, in September 2024, Ninyo & Moore responded with a change order request (COR) proposing an amendment to their original agreement, in the total amount of $182,708, for additional materials testing and inspection services needed at the Library and PD project sites; and WHEREAS, the total amount proposed reflects their combined, estimated costs of $88,250 (Library) and $94,458 (PD Building); and WHEREAS, after reviewing the COR, staff determined that the costs proposed by Ninyo & Moore are reasonable considering the expanded services needed to accommodate recent and anticipated changes at both project sites; and WHEREAS, staff is requesting that the City Council adopt a resolution authorizing a second amendment to the consultant services agreement with Ninyo & Moore, in an amount not to exceed $182,708, for additional materials testing and inspection services required for the Measure 0 — Police Operations Building (No. 23-RR) and Library Renovations (No. 23-SS) Projects; and WHEREAS, staff also requests that the City Council authorize the execution of any change orders up to and within 20% of this amount, for a total not to exceed $36,542, between both projects; and WHEREAS, sufficient funding is available in the approved CIP budgets for the Measure 0 = Library Renovations Project (No. 23-SS) and Police Operations Building Project (No. 23-RR) to cover the additional materials testing and inspection services proposed for the Library ($88,250) and PD ($94,458) Projects, and the 20% ($36,542) authorized for any change orders processed between both projects; and WHEREAS, since the COR includes minor service costs incurred for contractor no-show fees and inspections due to contractor errors/mistakes, staff will monitor the use of those services throughout both projects and incorporate the costs for any services used into the final deductive change order issued to the contractor upon that project's completion. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Campbell hereby authorizes a second amendment to the consultant services agreement with Ninyo & Moore, in an amount not to exceed $182,708, for additional materials testing and inspection services required for the Measure 0 — Police Operations Building (No. 23-RR) and Library Renovations (No. 23-SS) Projects; and the execution of any change orders up to and within 20% of this amount, for a total not to exceed $36,542, between both projects.
