Campbell's Land Use Element of the General Plan.
2. The adjacent zoning are as follows:
North: R-3-S (Multi-Family Residential) High Density Residential
South: R-3-S (Multi-Family Residential) High Density Residential
East: R-3-S (Multi-Family Residential) High Density Residential
West: Highway 17
3. According to the zoning ordinance and regulations applicable to th subject
property, the use of the subject property is a permitted use via appr val of a
Planned Development Permit.
4. The existing apartments, in the event of casualty, in whole or part, locat d on the
property may be rebuilt in its current form based upon current zo ing and
regulations.

referenced real property (the "Property"), and its lender is considering providing financing for such purchase.
We were wondering if you could please confirm, for their benefit, that the Property is curr ntly in compliance
with all applicable zoning laws and requirements of the City of Campbell.
For your convenience, I have enclosed a proposed form for your response and a March 8, 008 survey of the
Property prepared by BKF. I have also enclosed a check in the amount of$155.00.

Ladies and Gentlemen:
You have informed this office that Carmel Partners, LLC, a Colorado Ii ited liability
company, or its assignee (collectively, "Purchaser") is considering purchasin the above-
referenced real property in the City of Campbell, California (the "City"), mOf particularly
described on Exhibit A attached hereto, and the improvements thereon (coIl ctively, the
"Property"). The improvements on the Property include nine (9) 2-story buildin s containing
252 units, together with related amenities. The improvements on the Property a so include a
total of 400 parking spaces.
You have asked this office whether the Property is currently in compli ce with all
applicable zoning and subdivision laws, ordinances, and regulations (collectiv ly, "Zoning
Laws"), including without limitation those establishing or relating to setback, height and parking
requirements. We understand that Purchaser and a lender providing financing to P rchaser will
rely on our reply to this question in the purchase and financing of the Property.
Please be advised that: (i) the Property is located in the District
(the "Applicable District") within the limits of the City, (ii) the foregoing multi-family
residential use is permitted as a use by right on the Property under the Zoning Laws that apply to
the Applicable District; (iii) the Property is not located within an overlay zone dist ict (such as,
for example, a historical district); (iv) the Property, including the structure(s thereon, is
currently in compliance with the General Plan of the City and with all Zoning La s, and there
are no requirements for construction or otherwise which must be satisfied; (v) the roperty is a
lawfully created parcel according to the Zoning Laws; and (vi) the Property may be rebuilt to its
current form, and its current use may be continued, following a casualty.
Copies of the certificate of occupancy and the regulations and ordinances 0
