Dear Mr. Valenaar:
I acknowledge your letter of January 31, 1980 an apologize for my
inaction relative to your suggestion to clear some deficencies on
a site leased by us at Campbell Avenue and Barbano Way.
In accordance with your suggestion I am attaching our check for
$150.00 which will enable you to proceed with the necessary grading,
etc., which will bring this site up to code and enable you to remove
the bonding indebtedness.
At the conclusion of the work we respectfully request that you for-
ward us a receipt for the work done, and would also appreciate your
notifying our bonding company that the bond jeopardy has been
removed.
We are in the process of selling this site and want very much to
have any City disputes removed at this time.

The Herfy Corporation is aware of the area in quesiton at the
south end of Herfy's parking lot. The Barbano family is antic-
ipating developing the property to the rear of the Herfy restaur-
ant and at that time would provide an overall drainage plan for
their site. We would then connect in with the old pavement and
the new pavement and the site would be completed at that time.
The actual area in question is not on the Herfy's leased property.

BEING A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF CAMPBELL, COUNTY OF SANTA CLARA, STATE
OF CALIFORNIA, ACCEPTING THE AGREEMENT OF
HERFY'S CORPORATION FOR DEVELOPMENT OF REAL
PROPERTY LOCATED AT THE SOUTHEAST CORNER OF
CAMPBELL AND BARBANO AVENUES AND AUTHORIZING ,\
EXECUTION OF AGREEMENT.
WHEREAS, Herfy's Corporation has submitted an agreement to
this City Council for the development of their real property
located at the southeast corner of Campbell and Barbano Avenues
in accordance with prescribed conditions; and,
NOW, THEREFORE, BE IT AND IT IS HEREBY RESOLVED by this City
Council that said agreement is hereby accepted and that the Mayor
be and he is hereby authorized and directed to execute said
agreement on behalf of the City of Campbell.

AGREEMENT
THIS AGREEMENT, made and entered into this /7 day of
l:c.rl ~ 6'2- , 19....2.£-, by and between HERFY'S CORPORATION, a
Washington Corporation, hereinafter referred to as "Owners" and
the CITY OF CAMPBELL, a municipal çorporation of the County of
Santa Clara, State of California, hereinafter referred to as "City. I
WITNESSETH:
WHEREAS, Owners did heretofore on August 18, 1971, apply to
Planning Commission of City for architectural approval in order
to construct a restaurant structure upon that certain real property
being a portion of Parcel 3 as shown upon that certain parcel map
recorded July 16, 1971, and filed in Book 286 of Maps at Page 21
in the office of the County Recorder of the County of Santa Clara,
State of California, which real property is hereinafter referred
to as "said real property"; and,
WHEREAS, at its regular meeting held September 20, 1971, said
Planning Commission did consider said application and grant its
approval thereon subject to certain conditions thereof; and,
NOW, THEREFORE, IT IS MUTUALLY AGREED TO by and between the
parties hereto that Owners shall, at their own cost and expense,
provide and construct and/or install public street improvement
upon Barbano Avenue and Campbell Avenue throughout the frontage of
said real property consisting of, but not limited to, the following:
FIRST: Provide and construct City of Campbell standard com-
mercial sidewalk, curb and gutter, driveway approaches which extend
from the back of the curb and gutter to the back of the sidewalk,
all consisting of Portland Cement Concrete, as shown upon the
improvement plans approved by the City Engineer of City.
SECOND: Provide and construct City of Campbell standard
pavement structures consisting of untreated crushed rock base course
and asphaltic concrete surface course in accordance with said
approved improvement plans.
THIRD: Provide and construct City of Campbell standard storm
water inlets, storm sewer manholes, storm sewer mains and laterals
as shown upon said plans.
FOURTH: Grade said real property to drain toward the streets
unless determined impractical by the City Engineer.
FIFTH: Provide and install City of Campbell standard street
monument boxes, street name signs, regulatory signs and sign posts
therefor as shown upon said improvement plans.

SIXTH: Provide and install City of Campbell standard street lig t
steel poles, with upsweep bracket arms, luminaires, with individual i -
tegral photoelectric cells, electrical underground conduits with
conductor and junction boxes, all as shown upon said plans and as app oved
by said City Engineer.
SEVENTH: Provide and install or cause to be installed, a water
distribution system, including fire hydrants to serve said real prope ty
as shown upon said plans.
EIGHTH: Provide and install a sanitary sewerage system to serve
said real property as shown upon said plans.
NINTH: Provide and install an underground electrical energy sys em
and an underground telephone system to serve said real property.
TENTH: Provide and plant street trees of a variety and size, as
approved by the City Engineer.
(1) All of said improvements shall be provided and constructed
and/or installed wit~in twelve (12) months from the date first above ritte~
provided, however, "chat in the computation of said twelve-month
period, delays due to or caused by acts of God, viz., unusually inclel ent
weat'her,n-ajor strikes, other delays beyond the control of Owners shal
be excluded.
It is expressly understood and agreed to that if Owners shall fa 1
to complete the work required by this agreement within the said perio
of twelve (12) months from the date hereof, the City, after giving
ten (10) days written notice thereof to Owners may construct and/or
install said improvements and recover the full cost and expense there f
from Owners.
(2) It is further agreed to that all of said improvements shall be
constructed and/or installed in accordance with those plans approved y
the City Engineer of the City of Campbell, and shall be made under th
supervision and inspection and to the satisfaction of the City Engine r.
It is further agreed to that said construction and/or installation be
in accordance with the existing ordinances and resolutions of the Cit
of Campbell, and to all plans, specifications, standards, sizes, line
and grades approved by the City Engineer, and all State and County
statutes applicable thereto.
(3) It is further agreed to that the construction work of the
improvements embraced by this agreement shall be done in accordance w'th
the Standard Specifications of the Department of Public Works, Divisi n
of Highway, State of California dated January 1960, and in accordance
with the Specifications of the City of Campbell and Sanitation Distri t
No.4 of the County of Santa Clara, where indicated.

In the case of conflict between the State Specifications and the
Specifications of the City of Campbell and Specifications of County
Sanitation District No.4 of Santa Clara County, the Specifications 0
the City of Campbell and County Sanitation District No.4 shall take
precedence over and be used in lieu of such conflicting portions.
(4) It is further agreed to that Owners shall deposit with City
upon execution of this agreement, for office examination of improveme t
plans, field examination of improvements, inspection of improvements, and
all necessary expenses incurred by City in connection with said
improvements, the sum of TWO HUNDRED FIVE DOLLARS ($205.00).
(5) It is further agreed to that Owners shall file with City,
upon the execution of this agreement, a bond in the amount of FOUR TH USAND
EIGHT Hú~DRED DOLLARS ($4,800.00) to insure the full and faithful per orro-
ance of the construction of all of the aforementioned improvements
upon Barbano and Campbell Avenues, excluding sanitary sewers and wate
distribution systems. Said bonds shall guarantee the Owners shall
correct any defects in the aforementioned improvements which shall ap ear
within one (1) year from the date of acceptance of the work by City
and pay for any damage to other work resulting from the construction
thereof, as well as paying the cost of all labor and materials involv do
These bonds shall remain in full force and effect until one (1) year
after the date of final acceptance of said improvements by City.
(6) It is further agreed to thatOwners shall pay City the sum 0
FOUR HUNDRED NINETY DOLLARS ($490.00), upon the execution of this
agreement, which sum represents the storm drainage area fee of said
real property in conformance with the provisions of Section 9110.5 of the
City of Campbell Municipal Code and Resolution No. 951 of the City
Council of City.
It is further agreed to that City reserves the right to revise t e
storm drainage system shown upon the approved improvement plans for s id
real property provided Owners are given a reasonable written nobice t ereof
by City Engineer of City.
(7) It is further agreed to that Owners shall prepare and/or ca se
to be prepared at their own proper cost and expense plans for'tqe
construction and/or installation of said public s~reet improvements
plans shall be submitted to said City Engineer for examination ~nd
approval within Thirty (30) days from date of this agreement.
(8) It is further agreed to that Owners shall file with C~ty, u on
the execution of this agreement, a letter from said Sanitation Qistri t
No.4 of Santa Clara County stating that Owners have entered in~o an

agreement with said District No.4 to install sanitary sewers td serv
said real property and as otherwise shown upon said improvement :plans
and stating that a bpnd to insure full and faithful performance 'of th
construction of the[sanitary sewers and to insure the general g~arant e
as stated below in paragraph (12) has been filed.
(9) It is further agreed to that Owners shall, upon written not ce
thereof, immediately repair or replace without cost or obligatiqn to t e
City of Campbell, and to the entire satisfaction of said City all def cts
and imperfections arising out of or due to faulty workmanship and/or
materials appearing in said work within a period of one (1) year afte
date of final completion and acceptance of the public improvements
embraced by this agreement.
(10) It is further agreed to that Owners shall pay to Paci,fic G s
and Electric Company any and all ¡fees required for installation pf
underground wiring circuit to all electroliers and as otherwise 'Shown upon
said improvement plans when Owners are notified by either the City En ineer
of Campbell or the Pacific Gas and Electric Company that the said fee
are due and payable.
(11) It is further agreed to that Owners shall pay to San wose
Wat~r Works any and all fees required and enter into such agreem~nts nd
post and/or file such bonds and make such deposits of moneys with sai
San Jose Water when called upon to do so by City and/or said Sani Jose
Water Works to insure the furnishing and installation and/or con~truc ion
of said water distribution system and including the furnishing o~ fir
hydrants and appurtenances to serve said real property including: the
furnishings and installations and/or construction of water mains, and ire
hydrants and appurtenance immediately adjacent to said real prop~rty s
may be otherwise also shown upon the improvement plans.
(12) It is further agreed to that any easement and right o~ way
within or without said real property necessary for the completiop of
the construction and/or installation of any and all of the publiç
improvements embraced by this agreement and as may also be other~ise
shown upon the improvement plans shall be acquired by Owners at their
own cost and expense. It is provided, however, that in the event emi en~
domain proceedings are required for the purpose of securing said, ease ent
and right of way, the Owners shall deposit or cause to be deposited
with City a sum covering the reasonable market value of the landiprop sed
to be acquired and to be included in said sum shall be a reasonable
allowance for severence damages, if any. It is further provided, that in
addition thereto such sums as may be required for legal fees and cost ,
engineering and other incidental costs shall be deposited with City.
(13) It is further agreed to that Owners shall prepare or
caused to be prepared a parcel map based upon a field survey in ,
accordance with the provisions of the Subdivision Map Act of the: Stat
of California and which map shall be submitted to City for examiþatio
