A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL
AUTHORIZING THE CITY MANAGER TO EXECUTE ATTACHMENT B AND AMEND
THE EXISTING AGREEMENT FOR MANAGEMENT AND CONSULTING SERVICES
OF THE HERITAGE THEATRE WITH VENUETECH MANAGEMENT GROUP, LLC
WHEREAS, VenueTech Management Group has been a long-time partner with the City
and has continually provided excellent service; and
WHEREAS, the existing agreement term for Management and Consulting Services of
the Heritage Theatre is expiring; and
WHEREAS, the City has faced unprecedented revenue losses and continued
expenditures from the Heritage Theatre closure due to Covid-19, and
WHEREAS, safeguarding City funds in the event of continued or future closures from
public health emergencies is critical for a renewal agreement; and
WHEREAS, both parties were agreeable to negotiate an amendment which protects
City funds in the future; and
WHEREAS, the Attachment B includes an Emergency Fee Reduction which would
reduce expenditures for the City if the Heritage Theatre is closed due to public health
emergencies; and
WHEREAS, the Attachment B resets the initial term of the agreement to a three (3) year
term with a new expiration date of June 30, 2024; and
NOW, THEREFORE, BE IT RESOLVED that the City Council authorizes the City
Manager to execute Attachment A and amend the existing agreement for Management
and Consulting Services of the Heritage Theatre with VenueTech Management Group,
LLC.
