CC Resolution 7874RESOLUTION NO. 7g74 BEING A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL, AUTHORIZING EXECUTION OF AN AGREEMENT WITH SAFETY SPECIALISTS, INC. FOR HOUSEHOLD HAZARDOUS WASTE COLLECTION SERVICES WHEREAS, the City Council finds that it is in the best interest of the residents of Campbell to provide a safe and convenient means of disposing of household hazardous waste; and WHEREAS, Green Valley Disposal Company solicited proposals for a joint household hazardous waste collection event; and WHEREAS, Safety Specialists' proposal was found to be the most appropriate and economical proposal. NOW THEREFORE BE IT RESOLVED, that the Mayor be authorized to execute the attached agreement on behalf of the City of Campbell with Safety Specialists, Inc. Ashworth, Mayor AGREEMENT BETWEEN THE CITY OF CAMPBELL, TOWN OF LOS GATOS, C I TY OF MONTE SERENO, C I TY OF SARATOGA, COUNTY OF SANTA CLARA,GREEN VALLEY DISPOSAL COMPANY, GUADALUPE DISPOSAL COMPANY, LEXINGTON DISPOSAL COMPANY AND SAFETY SPECIALISTS, INC., FOR PROVISION OF A HOUSEHOLD HAZARDOUS WASTE COLLECTION DAY This agreement is made and entered into this 16th day of JANUARY , 1990 by and between the City of Campbell, Town of Los Gatos, City of Monte Sereno, City of Saratoga, County of Santa Clara (hereafter AGENCIES), Green Valley Disposal Company, Guadalupe Disposal Company and Lexington Disposal Company, (hereafter DISPOSAL COMPANIES) and Safety Specialists, Inc. (hereafter CONTRACTOR). RECITALS WHEREAS, AGENCIES are responsible for providing for the disposal of solid wastes within their jurisdictions, and WHEREAS, AGENCIES have determined that it is in the best interest of the residents of each jurisdiction to provide a safe and convenient means for the residents of Campbell, Los Gatos, Monte Sereno, Saratoga and residents of the unincorporated County areas served by Green Valley Disposal and Lexington Disposal Companies as of the date of this Agreement, to dispose of their household hazardouswastes; and WHEREAS, CONTRACTOR represents that it has the experience and expertise necessary to provide the household hazardous waste collection day. NOW THEREFORE AGENCIES, DISPOSAL COMPANIES AND CONTRACTOR do hereby agree as follows: SECTION 1. TERM OF AGREEMENT Subject to compliance with the terms and conditions of this Agreement, the term of this Agreement shall be March 10, 1990, 7:00 a.m. until such time as all household hazardous wastes are removed from the collection site. This Agreement maybe terminated by CONTRACTOR or AGENCIES upon thirty (30) days written notice to the other party. SECTION 2. SCOPE OF SERVICES A. Household Hazardous Waste Collection Dav CONTRACTOR will provide household hazardous waste collection services as described below. CONTRACTOR'S services will be provided at a one -day Household Hazardous Waste (HHW) Collection Day. Residents of Campbell, Los Gatos, Monte Sereno, Saratoga and unincorporated County areas within the service areas of Green Valley Disposal Company and Lexington Disposal Company will be eligible to bring household hazardous wastes to the collection site during the scheduled hours. CONTRACTOR will accept these household hazardous wastes, segregate, pack and dispose of said wastes according to the terms of this Agreement. The Campbell Community Center, 1 West Campbell Avenue, Campbell (Winchester Parking Lot) will be the site of the Household Hazardous Waste (HHW) Collection Day. The site will be set up two hours before opening of the HHW Collection Day and will involve sealing all storm drains, initiating the containment system and designating areas for waste handling. CONTRACTOR will make every effort to remove all materials from the site within 24 hours after the termination of the HHW Collection Day. If it is necessary that a small amount of special wastes remain on the site beyond 24 hours in order to analyze the waste prior to shipment, it shall be secured by locked fencing. In the event that a great deal more wastes than estimated are received, CONTRACTOR will provide crews 24 hours per day, continuously, until all wastes are removed from the site. C. Schedule: The HHW Collection Day will take place, Saturday, March 10, 1990 and collections will be received between the hours of 10:00 am and 3:00 pm. 2 D. CONTRACTOR will also provide a safety supervisor. The project team, defined in Section D.3, will have the following duties: rep-TH W1 Five staff members: Technicians will unload hazardous waste i tems from the trunks of cars. Waste w i 11 be screened for explosives, radioactive materials and unknowns. If any waste in these categories is found, the site manager will be informed. Paint, motor oil, batteries, and other materials will be quickly separated and delivered to the appropriate designated area. CONTRACTOR will coordinate with AGENCIES representatives to move appropriate items to a "RE -USE TABLE". 2. Segregation and Packing Paint and related products Six staff members: Oil base paint will be separated from latex paint. Also separated will be related products such as waxes, adhesives, aerosol paints, and grout. Paint will be separated into usable and unusable paint. Criteria for determining usability will be that the paint is latex, cans are at least 50% full, and lebels must be readable. No orange, yellow or red paint can be recycled. At AGENCIES discretion, usable latex paint will be handled under CONTRACTOR'S paint reclamation program. Paint cans are loose packed and returned to CONTRACTOR'S facility where it is filtered, color separated, bulked, and repackaged into new containers. Paint is then offered for sale at low cost to various outlets or donated to volunteer organizations. Proceeds from the sale of paint will belong to CONTRACTOR. Usable oil base paint will be bulked and sent for incineration (fuels program). 3 Unusable paint will be bulked into 55-gallon (DOT 17-H) drums on site and sent for disposal. Waxes, adhesives, and aerosols will be labpacked and sent for disposal. Empty containers will be compacted which results in a 15 to 1 reduction in volume of waste going to landfill. Solvents Two staff members: Solvents will be separated into halogenated and non -halogenated, poured into 55 gallon drums (DOT 17-E) and sent for recycling. Oxidizers will be immediately separated from this category. Uncontaminated antifreeze will be bulked into this category. Uncontaminated antifreeze will be bulked into 55 gallon drums (DOT 17-0 and sent for recycling. If contaminated, antifreeze will be bulked with flammable solvents. rm�r�a is i�iu�►�ss] Three staff members: Pesticides will be segregated into groups that can be packed together. Potentially dioxin contaminated products will be identified and separated out. (2,4,5, Penta, Silvex, etc. will be accepted). Packaging will be lab pack in 55 gal Ion drums (DOT-17H). Corrosives and oxidizers Two staff members: Corrosives and oxidizers will be identified and separated for lab packing in 55 gallon Brims (DOT 17-H). Miscellaneous One staff member: Groups of poisons that are not pesticides will be identified, separated and labpacked. Lead -acid batteries will be placed on a pallet and sent for recycling to a battery reprocessor. CONTRACTOR will dispose of damaged lead -acid batteries. Other batteries will be recycled by Green Valley Disposal Company. All hazardous waste manifests and bills of lading will be prepared in accordance with State and Federal regulations. At no time will waste be left unattended. After completion of the event, if required by AGENCIES, a street sweeper will be hired to sweep site. 12 3. Project Team Staff will consist of nineteen (19) positions including: Site Manager: This position provides for the event's leadership, ensures that the contract and variance conditions for the event are followed and is responsible for the packaging, documentation, storage and disposal of the household hazardous materials. Safety Supervisor: This position provides the pre -event safety talk and insures that the event is conducted in a safe manner and that all personnel wear appropriate safety equipment. Chemist: This position provides technical leadership for crews involved in the packaging of household hazardous materials and is responsible for preparing distribution, filing manifest and shipping documentation. Technician: This position works under the supervision of the Chemist, in the packaging, transportation, and storage of hazardous materials. Duties performed include packaging, truck loading and unloading. E. OPERATIONS PLAN CONTRACTOR will use the following process to provide household hazardous waste collection services: Process For Handling Waste - Resident verification and registration - Waste is accepted by CONTRACTOR'S Hazardous Material Chemist in original manufacturer's containers and other miscellaneous containers - Waste is categorized by hazard class and compatibility - Waste overpacked in DOT 17-H SS -gallon drum (see Lab Pack procedures) - Waste manifested by Hazardous Materials Chemist - Label full drum according to DOT specifications - Load into truck for transportation to Class I disposal site i - Waste received by Hazardous Materials Chemist who will verify contents using CONTRACTOR'S ID kit and hazardous materials experience. - Chemical and physical analysis will become part of the operating record Hazardous Properties of Waste - It is expected that the following properties will exist in the waste received: toxic; corrosive; ignitable; and reactive. Methods for Identification Manufacturer's Labels - Physical Assessment by Hazardous Materials Chemist - Interaction of Chemist and Resident - Hazard Identification Kit Unacceptable Wastes - Radioactive Waste - Explosives - Compressed Gas Cylinders (not including aerosols) - Water reactives Packaging Materials - See Exhibit A for containers and lables used by CONTRACTOR. All waste will be packaged in proper DOT containers with proper DOT labeling, which includes printing on container and the contents' composition/physical state of waste. CONTRACTOR'S drum control labels and hazardous waste labels both list the manifest number. Drum control labels also include the manifest attach sheets container number. These labels allow strict accountability and identification. 0 Containment System The household hazardous waste receiving area will be protected by six (6) mil visqueen, taped and secured to the ground in order to prevent any accidental releases into the soil. This containment system will be separated by well-defined working areas. The working areas will consist of a chemical segregation area and a chemical packaging area. Typical activities taking place in the chemical segregation area consist of a chemist categorizing and grouping the materials by hazard classes and technicians segregating the paint, oil, and aerosols. In the chemical packaging area the actual and final packaging of the labpacks is conducted. Also, the inventgory sheets for each container are prepared and additional categorization is performed in this area, meeting both DOT and disposal site categorization requirements. Safety Precautions A safety talk will be held prior to the event, at which time safety procedures will be reviewed. It is mandatory that all personnel wear appropriate safety equipment. Pouring and consolidation of solvents is only perfomed in a designated area away from the public. Safety gear and safety recautions will be utilized. "No Smoking", "No Drinking" and "No Eating" signs will be posted in appropriate areas. Hazardous waste is overpacked in proper DOT shipping containers, to prevent fire or explosion. Inspections will be made by CONTRACTOR to insure that the faclity and containers are in a safe condition. If an unsafe condition is discovered, it shall be corrected immediately by the site safety representative. First Aid facilities including an eye wash, shower station or hosing device and fire extinguishers must be available, together with communication equipment (telephone or CB radio). 7 Recyclers and Treatment, Storage and Disposal Sites CONTRACTOR will use recyclers and Treatment, Storage and Disposal Sites listed in Exhibit B attached hereto. SECTION 3. FEE SCHEDULE Fees charged to AGENCIES by CONTRACTOR are listed in Exhibit C, attached hereto. SECTION 4. PAYMENT SCHEDULE Upon receipt of itemized invoice and manifests, AGENCIES shall pay CONTRACTOR for providing the services outlined above, according to the fee schedule outlined above and the FIVE AGENCY AGREEMENT FOR HOUSEHOLD HAZARDOUS WASTE COLECTION PROGRAM, Exhibit D attached hereto. Payment from each jurisdiction will be according to the per household formula detailed in the FIVE AGENCY AGREEMENT FOR HOUSEHOLD HAZARDOUS WASTE COLLECTION PROGRAM, Section 8. SECTION S. PERMITS CONTRACTOR shall obtain al i required Federal, State and local permits, variances and other approvals for AGENCIES for the Household Hazardous Waste Collection Event. CONTRACTOR shall obtain for AGENCIES a hazardous waste generator number as required by the State and an identification number as required by the United States Environmental Protection Agency. SECTION 6. INSURANCE CONTRACTOR shall maintain at CONTRACTOR'S expense not less than the insurance coverages set forth below. CONTRACTOR shall furnish Certificates of Insurance to AGENCIES evidencing the required coverage prior to the HHW Collection Day. There shall be a specific contractual liability endorsement extending CONTRACTOR'S coverage to include the contractual l iabi 1 ity assumed by CONTRACTOR Pursuant to this Agreement. Thirty (30) days' notice must be given, In writing to AGENCIES of any pending change in the limits of liability or of any cancellation or modification of the policy. Workers' Compensation and Employer Liability Insurance Contractor shall have in effect during the entire life of this Agreement, Workers' Compensation and Employer Liability Insurance providing full statutory coverage. Liability Insurance CONTRACTOR shall take out and maintain during the life of this Agreement such Bodily Injury Liability and Property Damage Liability Insurance as shall protect him while performing work covered by this Agreement from any and all claims for damages for bodily injury, including accidental death, as well as any and all claims for property damage which may arise from CONTRACTOR'S operations under this Agreement, whether such operations be by himself or by any subcontractor or by anyone directly or indirectly employed by either of them. Such insurance shall be combined single limit bodily injury and property damage for each occurrence and shall not be less than the amount specified below. Commercial General Liability $1,000,000 Motor Vehicle Liability Insurance $1,000,000 The City of Campbell, Campbell Redevelopment Agency, Town of Los Gatos, City of Monte Sereno, Green Valley Disposal Comp Lexington Disposal Company employees shall be named a: policies of insurance, to the City of Saratoga, County of Santa Clara, ny, Guadalupe Disposal Comany and and their officers, agents and additional insureds on any such full limits of said policies. DISPOSAL COMPANIES are not responsible for payment due to CONTRACTOR. INDEPENDENT CONTRACTOR, CONTRACTOR shall perform all work and services described herein as an independent contractor and not as an officer, agent., servent or employee of AGENCIES. CONTRACTOR shall be solely responsible for the acts and omissions of its officers, agents, employees, contractors and subcontractors, if any. Nothing herein shall be construed as creating a partnership or joint venture between AGENCIES and CONTRACTOR. No person performing any of the work or services described hereunder shall be considered an officer, agent, servant or employee of AGENCIES, nor shall any such person be entitled to any benefits available or granted to employees of AGENCIES. SECTION 8. ASSIGNMENTS Without the written consent. of AGENCIES, this agreement is not assignable in whole or in part. Any assisgnment by CONTRACTOR without the written consent of AGENCIES, violates this agreement and shall automatically terminate this agreement. CONTRACTOR shall not employ subcontractors to carry out the responsibilities undertaken pursuant to this contract without the written consent of AGENCIES. All assignees or subcontractors approved by AGENCIES shall be subject to the same terms and conditions applicable to CONTRACTOR under this agreement and CONTRACTOR shall be liable for the assignee's or subcontractor's acts or omissions. All agreements between CONTRACTOR and subcontractor or assignee for services pursuant to this agreement shall be provided to AGENCIES. SECTION 9. ALTERATION OF AGREEMENT This agreement is entire and contains all the terms and conditions agreed upon by the parties. No alteration or variation shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreement shall be binding on the parties hereto. H SECTION 10. HOLD HARMLESS CONTRACTOR agrees to indemnify, defend and hold harmless AGENCIES and their officers, agents, employees and servants from all claims, suits or actions of every name, kind and description, brought for, or on account of injuries to or death of any person, including CONTRACTOR, or damage to property of any kind whatsoever and to whomsoever belonging, including but not limited to, the concurrent active or passive negligency of AGENCIES, its officers, agents, or employees and servants, resulting from the performance of any work required by this Agreement of CONTRACTOR, provided that this shall not apply to injuries or damage for which AGENCIES have been found in a court of competent jurisdiction to be solely liable by reason of their own negligency or willful misconduct. Indemnity shall extend to reimbursement of reasonably incurred costs and attorney fees. SECTION 1 1. RECORDS CONTRACTOR agrees to provide to AGENCIES, to any Federal or State department having monitoring or review authority, to AGENCIES' authorized representatives and/or their appropriate audit agencies upon reasonable notice, access to and the right to examine and audit all records and documents necesssary to determine compliance with relevent Federal, State, and local statutes, rules and regulations, and this Agreement, and to evaluate the quality, apropriateness and timeliness of services performed. CONTRACTOR shall maintain and preserve all records relating to this Agreement in its possession and shall assure the maintenance of such records in the possession of any third party performing work related to this Agreement of a period of four (4) years from the termination date of this Agreement, or until audit findings are resolved, whichever is later. SECTION 12. COMPLIANCE WITH APPLICABLE LAWS All services to be performed by CONTRACTOR pursuant to this Agreement shall be performed in accordance with all applicable Federal, State, County and Municipal laws, ordinances, regulations, including but not limited to approprate licensure and certification regulations, provisions pertaining to the confidentiality of records and applicable quality assurance regulations. SECTION 13. Unit Costs Unit Costs include packaging, identification, sorting, transfer and disposal.
