A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL
APPROVING THE FOURTH AMENDMENT WITH TRIO COMMUNITY MEALS,
LLC TO PROVIDE CATERED MEALS FOR THE SENIOR NUTRITION
PROGRAM FOR FY 2023-24 AND AUTHORIZING THE CITY MANAGER TO
EXECUTE THE AGREEMENT
WHEREAS, the City of Campbell recognizes the need for a nutritious meal
program for senior citizens in Campbell; and
WHEREAS, Trio Community Living, LLC is designated by the County as an
approved caterer of meals for the City/County Senior Nutrition Program for Fiscal
Year 2023-24; and
WHEREAS, the Amendment with Trio Community Meals, LLC is required
to clarify the obligations of each party to continue providing meal service two days
per week; to increase the rate charged per meal from $5.81 to $6.10 per meal, for
a total compensation of $37,668; and to provide a new term for Trio Community
Meals to provide these services from July 1, 2023 through June 30, 2024.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Campbell does hereby approve the fourth amendment with Trio Community Meals
to provide meals for the Senior Nutrition Program for Fiscal Year 2023-24 and
authorize the City Manager to execute the Amendment.

AMENDMENT #4 TO THE FOOD SERVICE PARTNERSHIP AGREEMENT
This Amendment is made and entered into by and between Campbell Adult Center ("Client"), and TRIO
Community Meals, LLC ("Company") (collectively "the Parties").
WHEREAS, Company and the County of Santa Clara ("County") are parties to an agreement
effective July 1, 2019, ("County Agreement") pursuant to which Company is contracted to provide
home -delivered and congregate food services ("Services") to certain County agencies;
WHEREAS, Client is deemed a County agency under the County Agreement and desires
Company to provide Services to Client subject to certain terms and conditions therein;
WHEREAS, Client and Company have entered into a certain Food Partnership Agreement
("Agreement"), effective July 1, 2019;
WHEREAS, Company, formerly Bateman Community Living, LLC dba TRIO Community Meals, is
now known as TRIO Community Meals, LLC;
WHEREAS, The Parties have agreed to extend with pricing adjustment the partnership; and
WHEREAS, The Parties. now desire to amend said Agreement upon the terms and conditions
stated herein.
NOW, THEREFORE, the Parties, intending to be legally bound hereby, mutually agree as follows:
1. Term. This Agreement shall be extended for an additional year beginning July 1, 2023.
2. Price. Inconsideration for services provided to the Client, Company will charge the Client $6.10
per bulk meal, plus applicable sales tax.
3. Payment Method. Payment method shall be electronic via AFT/ACH transfer or another
acceptable electronic method agreed upon between the Parties.
This Amendment is effective as of July 1, 2023. All other terms and conditions of the original Agreement
(as modified from time to time) shall remain in full force and effect unless otherwise amended as
provided in the Agreement.
