CC Resolution 13038 - Agreement with (ESI) for (CCC) - Heritage Theatre Boiler Replacement PRoject (No. 24-OO)RESOLUTION NO. 13038 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL APPROVING AN AGREEMENT WITH ENVIRONMENTAL SERVICES, INC. (ESI) TO PROVIDE EQUIPMENT AND LABOR SERVICES, IN AN AMOUNT NOT TO EXCEED $78,265, FOR COMPLETION OF THE CAMPBELL COMMUNITY CENTER (CCC) — HERITAGE THEATRE BOILER REPLACEMENT PROJECT (NO. 24-00) AND DISPENSING WITH BIDDING REQUIREMENTS AS AUTHORIZED IN CAMPBELL MUNICIPAL CODE SECTIONS 3.20.030 (7) (8); AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT AS SPECIFIED IN CAMPBELL MUNICIPAL CODE SECTION 3.20.100 WHEREAS, the Heritage Theatre was originally built in 1938 as an auditorium for Campbell Union High School and became a significant architectural and historical presence in Santa Clara Valley; and WHEREAS, after the school and theatre closed in the early 1980's, the City of Campbell (City) purchased the property in 1985 and began implementing a series of projects to restore the Heritage Theatre; and WHEREAS, since its re -opening in 2002, routine maintenance has allowed the City to defer major upgrades to only when necessary or when part of a larger project; and WHEREAS, in recent years, increasing demands have had a significant impact on the theatre's boiler and HVAC unit controls which have resulted in timely and costly repairs; and WHEREAS, repairs that were once effective are no longer sustainable due to the unit's outdated HVAC controls and technology (software) that is obsolete; and WHEREAS, staff has utilized the City's HVAC maintenance contractor, Environmental Services, Inc. (ESI), to provide specialized labor and equipment services for the system's more complex issues; and WHEREAS, while working with ESI in early 2023, staff discovered that the boiler's HVAC unit controls had completely failed after years of prolonged use, while the boiler itself had outlived its useful life expectancy (i.e., 25-30 years) and was unable to provide optimal heating operations; and WHEREAS, with these developments, staff determined that a timely replacement of the Heritage Theatre boiler and HVAC panel would be necessary to prevent critical service disruptions; and WHEREAS, a new boiler -would provide several key benefits with its advanced technology and fewer operational needs — reducing the City's long-term energy use while generating a substantial cost -savings and maintaining efficient climate operations; and WHEREAS, the new boiler will also be equipped with features supporting compatibility with the theatre's existing chiller and other operational equipment from the Honeywell line of HVAC control parts currently being installed throughout the City; and WHEREAS, in February 2023, staff requested a proposal from ESI for the labor and equipment services to replace the Heritage Theatre boiler; and WHEREAS, staff selected ESI based on their successful work history with the City and status as a Honeywell Certified Vendor with the resources and expertise to ensure the boiler's compatibility with the existing Honeywell HVAC system; and WHEREAS, ESI submitted a proposal to the City for labor and equipment services to remove the existing boiler, install a new unit, and integrate other features required to support its functionality with the Honeywell HVAC system, for a total cost of $78,265; and WHEREAS, sufficient funding is available for the associated costs as reflected in the City's approved CIP budget for `CCC — Heritage Theatre Boiler Replacement (Project No. 24-00) in the amount of $90,000; and WHEREAS, staff is recommending City Council's approval of the ESI contract to provide equipment and labor services for the Heritage Theatre boiler project, and is requesting City Council's authorization to dispense with bidding requirements as authorized in Campbell Municipal Code Sections 3.20.030 (7) (8), to help facilitate a timely completion of the project; and WHEREAS, staff is also requesting City Council's authorization for the City Manager to subsequently execute said agreement as specified in Campbell Municipal Code Section 3.20.100. NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Campbell hereby: 1) approves a service contract with Environmental Services Inc. (ESI), in an amount not to exceed $78,265, for the equipment and labor services necessary to complete the Campbell Community Center (CCC) — Heritage Theatre Boiler Replacement project (No. 24-00); 2) authorizes staff to dispense with formal bidding requirements as specified in Campbell Municipal Code Sections 3.20.030 (7) (8); and 3) authorizes the City Manager to execute said agreement as specified in Campbell Municipal Code Section 3.20.100.
