A RESOLUTION OF THE CITY OF CAMPBELL CITY COUNCIL
TO AUTHORIZE THE CITY MANAGER TO SIGN
A MEMORANDUM OF AGREEMENT WITH ARCADIA PUBLISHING
WHEREAS, Arcadia Publishing, the leading U.S. publisher of regional history,
is interested in working with history experts to create a "visual record" of local
communities for its Images of America book series; and
WHEREAS, Arcadia Publishing has approached the City of Campbell's History
Museum to work on such a project; and
WHEREAS, the museum staff has developed a book proposal for a
photographic history of Campbell, California, that has been approved by Arcadia
Publishing's acquisitions and publications department; and
WHEREAS, Arcadia Publishing now proposes a Memorandum of Agreement
with the City's museum to be the author of a book on Campbell; and
WHEREAS, Arcadia Publishing agrees to publish the book at its expense and
at no cost to the City of Campbell; and
WHEREAS, Arcadia Publishing agrees to provide the museum with 20
complimentary copies and to pay royalties of 8% on all copies sold;
NOW, THEREFORE, BE IT RESOLVED that the City of Campbell:
1. Approves entering into a Memorandum of Agreement with Arcadia
Publishing;
Certifies that the City understands the assurances and certification
required in the Memorandum of Agreement; and
Certifies that the City has or will have sufficient staffing capability to
complete the book project; and
Appoints the City Manager as agent to conduct all negotiations, execute
and submit all documents including, but not limited to applications,
agreements, amendments, etc. as indicated in the Memorandum.
