Charges will be made against this deposit if there is an emergency call-out, overtime inspection or when City ordered barricading is required. Any such costs in excess of the deposit will be billed to the Pennittee. 2. A ONE-YEAR MAINTENANCE PERIOD AND SURETY are required. Such period will begin on date of written acceptance by the City. 3. REFUND of the cash deposit balance and refund or cancellation of the Faithful Performance Surety will be initiated by the written acceptance of the work by the City. 4. The Permittee MUST REQUEST IN WRITING a final inspection and acceptance of the work upon completion. Acceptance by the City will be made in writing to the Pennittee. 5 . MAINTAIN safe pedestrian and vehicular crossings and free access to private driveways, bus stops, fue hydrants and water valves. 6. A CONSTRUCTION TRAFFIC CONTROL PLAN and a CONSTRUCTION SCHEDULE is required for all lane closures, detours and street closures. This plan must be REVIEWED and APPROVED prior to any lane closures. 7. The CONSTRUCTION TRAFFIC CONTROL PLAN shall conform with the Caltrans Manual of Traffic Controls for Construction and Maintenance Work Zones, dated 1990, available at Caltrans. Traffic control equipment shall include Type II flashing arrow signs if required. 8. REPLACE IN KIND any damaged or removed existing improvements, including planting. 9. Sawcut for all PCC or AC removals. All PCC removals shall be to nearest scoremark and shall be doweled to existing improvements. 10. OVERTIME INSPECTION PREMIUM will be charged against the cash deposit for inspection required outside the hours of 8:00 a.m. to 4:00 p.m. at the current overtime rate, minimum one hour charge. 11. SA TURDA Y INSPECTIONS must be arranged in advance. Saturday inspection time is charged at the current overtime rate with a three hour minimum. Advance payment for the estimated time is required. 12. Adequate signing and lighted BARRICADING is required on the job site. Failure to provide such signing and barricading may result in the City's renting such signing and barricades and charging the cost (including aU labor and materials) against the cash deposit. 13. Compaction testing of subgrade, base rock. and asphalt concrete by Permittee is REQUIRED unless otherwise stated by the City Engineer. 14. The Contractor or Permittee will have a SUPERVISORY REPRESENTATIVE available for contact on the project at all times during construction. Contractor or Pennittee shall provide a phone number at which they can be contacted outside the hours of 8:00 a.m. to 4:00 p.m. 15. No STORAGE of materials or equipment will be allowed near the edge of pavement, the traveled way, or within the shoulderline which would create a hazardous condition to the public. 16. This permit shall not be construed as authorization for excavation and grading on private propeny ADJACENT to the work or any other work for which a separate permit may be required, nor does it relieve the Permittee of any obligation to obtain any other permit required by law. 17. This permit does NOT RELEASE the Permittee from any liabilities contained in other agreements or contracts with the City and any other public agency. 18. This permit is NOT TRANSFERRABLE. Work must be performed by the Permittee or his designated agent or contractor as specified thereon. 19. CALL BACK (call out) due to emergencies regarding this permit, shall be at the current overtime rate with a three (3) hour minimum charge per occurrence. 20. Pursuant to Chapter 14.02 of the Campbell Municipal Code, applicant shall not cause to be discharged any material into the municipal storm drain system other than storm water. (10) days written notice thereof to Owner, or his successors, may construct and/or install said improvements and recover the full cost and expense thereof from owner, or his successors, (3) Owner, or his successors, shall cause to be prepared at his cost and expense improvement plans for the construction and/or installation of said improvements prior to such construction or instillation, Said plans shall be prepared by a civil engineer registered by the State of California and submitted to the City Engineer for examination and approval, All of said improvements shall be constructed and/or installed in accordance with those plans approved by the City Engineer and shall be made under the supervision and inspection and to the satisfaction of the City Engineer. Said construction and/or installation shall be in accordance with the existing ordinances and resolutions of the City of Campbell and to all plans, specifications, standards, sizes, lines and grades approved by the City Engineer, and all State and County statutes applicable thereto. Upon completion and acceptance of the improvements by City, Owner, or his successors, shall provide reproducible as-built plans to the City Engineer. (4) The construction work of the improvements embraced by this Agreement shall e done in accordance with the specifications of the City of Campbell and West Valley Sanitation District of Santa Clara County, where indicated, (5) Prior to approval of the plans by the City Engineer pursuant to Section (3) of this Agreement, Owner, or his successors, shall pay to the City for examination of improvement plans, field inspection of construction of improvements and all necessary expenses incurred by City in connection with said improvements, a sum calculated in accordance with Resolution No. 9001, as adopted by the City Council on June 18, 1996, or as" may subsequently be adopted by the City Council, (6) Owner, or his successors, shall file with City, prior to beginning construction, surety acceptable to the City in amount equal to the City Engineer's estimated cost of the street improvements to ensure full and faithful performance of the construction of all the aforementioned improvement work, excluding sanitary sewers and water distribution system, Said surety shall guarantee that Owner, and his successors, will correct any defects which may appear n said improvement work within one (1) year from the date of acceptance of the work by City and pay for any damage to other work resulting from the construction thereof, as well as pay the cost of all labor and materials involved, This surety shall remain in effect until one (1) year after date of final acceptance of said improvements by City. Said surety amount may be reduced by the City Engineer after the date of fmal acceptance to not less than twenty-five (25) percent of its full value. (7) Upon final release of said surety by city, the obligations of Owner, and his successors, contained in this Agreement shall be considered null and void, (8) When called upon by City to do so, Owner, or his successors, will execute a petition for the formation of any special assessment district created pursuant to any special assessment act as provided in the Streets and Highways Code of the State of California created for the purpose of constructing and/or installing any or all of said improvements. 2 (9) Owner, or his successors, shall participate in and become a part of any special assessment district as described in paragraph (8) of this Agreement, It is expressly understood that any obligations of Owner, or his successors, contained in this Agreement that are accomplished to the satisfaction of said City Engineer by said special assessment district shall be considered null and void, (10) Owner, or his successors, shall make such deposits or fIle such bonds and enter into such agreement as required by West Valley Sanitation District of Santa Clara County to ensure the installation of a sanitary sewage system to serve said real property, and Owner, or his successors, shall file with City, upon execution of this Agreement, a letter from said Sanitation District stating that Owner, or his successors, have made such deposits or fIled such bonds and entered into such agreements. (11) Owner, or his successors, shall pay to Pacific Gas and Electric Company any and all fees required for installation of underground wiring circuit to all electroliers within said real property when Owner, or his successors, is notified by either the City Engineer or the Pacific Gas and Electric Company that said fees are due and payable, Owner 's, and his successors', obligations under this section shall not be relieved by delay or the passage of time, but shall remain binding indefinitely and forever. (12) Owner, or his successors, shall make such deposits or file such bonds and enter' into such agreement as required by San Jose Water Company when called upon to do so to ensure the installation of a water distribution system to serve said real property, including fIfe hydrant. Owner's, and his successors', obligations under this section shall not be relieved by delay or the pas~age of time, but shall bind Owner and successors indefinitely and forever, (13) Any easement and right of way within or without said real property necessary for the completion of the improvements shown upon aforesaid improvement plans shall be acquired by Owner, or his successors, at his own cost and expense, It is provided, however, that in the event eminent domain proceedings are required for the purpose of securing said easement and right of way, Owner, or his successors, shall deposit or cause to be deposited with City a sum covering the reasonable market value of the land proposed to be taken and to be included in said sum shall be a reasonable allowance for severance damages, if any. It is further provided that in addition thereto such sums as may be required for legal fees and costs, engineering and other incidental costs shall be deposited with the City, (14) Owner, or his successors, shall carry out any and all negotIations with all interested parties and shall perform or cause to be performed at his own cost and expense and to the satisfaction of the City Engineer any and all work required to abandon, remove, raise, lower, relocate and otherwise modify irrigation line or lines within the boundary of said real property , -3- (15) To the fullest extent permitted by law, Owner, and his successors, shall indemnify, defend and hold the City of Campbell, and its agents, employees, attorneys, officers, officials and assignees harmless from any and all claims, damages, losses and expenses, including, but not limited to, attorneys' fees, arising out of, or resulting from any negligent or intentional act or omission (including misconduct) of said Owner, or his successors, or any subcontractor, or anyone directly or indirectly employed by him, or anyone for whose acts any of them may be liable in the course of performance of the Agreement. The Owner, and his successors, shall also indemnify, defend and hold the City of Campbell, and its agents, attorneys, employees, officers, officials, and assignees harmless against and from any and all claims, demands, liabilities, losses, lawsuits, judgments, damages, costs and expenses (including, but not limited to, attorneys' fees and court costs, whether incurred at trial, appellate or administrative levels) which the City of Campbell may incur or suffer, or to which the City of Campbell may be subjected resulting from the failure of Owner, or his successors, or his agents, employees, subcontractors, or anyone performing services under him, to fulfIll any of the obligations imposed under this Agreement (16) It is acknowledged that the provisions of this Agreement constitute covenants for the improvement of the subject real property for the mutual benefit of Owner's property, commonly known as 1142 and 1154 Smith Avenue, and the City's property, commonly described as Smith Avenue where it adjoins Owner's property, These covenants shall be considered to affect rights in the above-described real properties, and shall be binding on the heirs, assigns, successors, and grantees of Owner to said real property. -' (17) Nothing contained herein shall be construed to transfer any unvested interests in real or personal property for purposes of the rule against perpetuities, (18) In the event that Owner, or his successors, should breach any of the terms, conditions, or covenants of this Agreement, the City shall be entitled to recover, in addition to any other relief available in law or equity, all costs incurred in attempting to obtain enforcement of the Agreement, or compensation for such breach. These costs shall include reasonab Ie attorneys' fees and court costs. (19) This is the entire Agreement between the parties, and there are no representations, agreements, arrangements or understandings that are not fully expressed herein. (20) This Agreement can be executed in counterparts by the parties hereto, and as so executed shall consist of one agreement, binding on all parties. Central Avenue, Suite 2 Campbell, CA 95008 DE CLARA TION OF COVENANTS AND RESTRICTIONS AND RESERVATION OF LANDSCAPE MAINTENANCE EASEMENTS This Declaration of Covenants and Restrictions and Reservation of Landscape Maintenance Easement (hereinafter referred to as the "Declaration") is made this 1.9''-c1ayof July 1997, by B & C Homes (hereinafter referred to as "Declarant"). RECITALS A. Declarant is the owner of that certain property (the "Property") located in the City of Campbell, County of Santa Clara, State of California, more particularly described in .' Exhibit "A" attached hereto: B. Declarant desires and intends to develop on the Property a single-family residential development and, in connection therewith, Declarant will create a separately landscaped area (the "Landscaped Area"). Declarant intends, following the development of the Property, that the conveyance to individual owners of at least four of the single-family residences will be accompanied by the conveyance of a portion of the Landscaped Area. To insure the ongoing maintenance and upkeep of the Landscaped Area for the benefit of all of the individual owners of the residences within the development, Declarant deems it desirable in to impose certain covenants and restrictions, and to reserve certain easements, as to such Area. C. Declarant intends to convey each of the residences within the Property (as described herein), following the development thereof, subject to the covenants, restrictions and easements set forth herein below. NOW, THEREFORE, Declarant hereby declares that it does hereby impose certain covenants and restrictions for the maintenance, care and upkeep of the Landscaped Area, that it does hereby reserve certain easements with respect to the Landscaped Area, and that the Affected Parcels (defined below) and the Remainder Parcels (defined below) shall be held, sold, conveyed, encumbered, hypothecated, leased, used, occupied and improved subject to the covenants, restrictions and easements set forth herein below. Each of the aforesaid covenants and restrictions shall run with the Affected Parcels and the Remainder Parcels shall be binding bowen covenant4final.frm 1 upon all persons having any right, title or interest in such Parcels, together with their respective heirs, successors and assigns, and such covenants and restrictions, together with the aforesaid easements, shall inure to the benefit of the Declarant and all other persons having an interest in the Affected Parcels and the Remainder Parcels, together with their grantees, heirs, executors, administrators, devisees, successors and assigns. ARTICLE 1 DEFINITIONS As used in this Declaration, the following terms have the following meanings: 1,1 Landscaped Area. "Landscaped Area" shall mean that portion of the Property with consists of all of the Remainder Parcels and which have been, or will be, landscaped by Declarant pursuant to its development of the Property. 1.2 Remainder Parcels. "Remainder Parcels" shall mean those separate legal parcels within the Property designated on the parcel map for the Property as Lots lA, 2A 3A, and 4A. 1.3 Affected Parcels. "Affected Parcels" shall mean those separate legal parcels within the Property designated on the parcel map for the Property as Lots 1, 2, 3, 4, 5, and 6, which Affected Parcels have been, or will be, improved by Declarant with a single family dwellings. 1.4 Owner. An" Owner(s)" means the owners from time to time of the Affected Parcels and/or the Remainder Parcels, together with their respective heirs, successors and assigns. "Owner(s)" shall include parties owning only an Affected Parcel, as well as parties owning both an Affected Parcel and a Remainder Parcel. ARTICLE 2 COVENANTS FOR MAINTENANCE AND UPKEEP 2.1 Obli~ation to Maintain and Pay Costs; Landscape Plan. The Owners shall be jointly obligated to provide for the reasonable and adequate maintenance and upkeep of the Landscape Area, which maintenance shall include, without limitation, the upkeep and watering of all plants such that plants do not become discolored and die, the removal of all trash and rubbish, and the removal of dead leaves, dead or broken branches and similar plant debris, replacement of dead or diseased plants, and such other maintenance as may be required from time to time in order to keep the Landscaped Area in a neat, uniform, and healthy landscaped condition. The maintenance of the Landscaped Area shall also be carried so as to retain the consistency of such Area with the configuration and requirements of the City Landscape Plan (as defined below). It is the intention of Declarant that, by imposing the covenants herein, the Owners shall be obligated to maintain the Landscaped Area in an attractive landscaped condition and, in this regard, none of the Owners of the Remainder Parcels may strip their respective bowen covenant4final.frm 2 area of landscaping, replace plant landscaping items with non-plant items, or otherwise take such action such the that overall Landscaped Area will not have an orderly and uniform appearance. All costs and expenses incurred with respect to the maintenance and upkeep of the Landscaped Area and to otherwise comply with this Declaration ("Shared Costs") shall be allocated one sixth (1/6) to each Owner. "City Landscape Plan" shall mean that certain landscape plan approved by the City of Campbell on June 30, 1997 as file TS-9603 incorporating plans dated June 3, 1997 and prepared by Michael David Polikoff. 2,2 Maintenance Committee. In order to comply with the maintenance covenants set forth in Section 2.1 the Owners shall establish a committee to carry out the joint maintenance of the Landscaped Area, which committee shall adopt a maintenance plan (the "Maintenance Plan"). The Maintenance Plan shall (a) provide for the retention of third party contractors to carry out the required maintenance and upkeep, and (b) set forth the means of assessing and collecting each Owner's share of the Shared Costs; provided, however, this Declaration shall remain in full force and effect notwithstanding the formation of a maintenance committee and/or the adoption by the Owners of the Maintenance Plan. 2.3 Non Compliance In the event any Owner, does not pay its portion of the Shared Costs within the time established by the Maintenance Plan, then Declarant or any two of the other Owners may initiate a legal action on the part of all Owners to recover any and all damages resulting from such failure. In any such action, the Declarant or the recovering Owners shall be entitled to recover from the defaulting Owner (a) interest at the rate of ten (10%) per annum (accruing from the date the subject Shared Cost payment was due), (b) attorneys fees and other legal costs as provided in Section 7.1 below, and (c) any other actual and reasonable out-of-pocket expenses incurred by Declarant or such Owners by reason of an Owner's failure to pay as provided herein. In the event any Owner of a Remainder Parcel takes any action with respect to such parcel which is contrary to the terms and provisions of this Declaration, then Declarant or any two of the other Owners may initial a legal action on the part of all Owners to enjoin such action and to recover any and all damages resulting therefrom, together with attorneys fees and other legal costs as provided in Section 7.1 below. ARTICLE 3 RESTRICTIONS 3.1 Landscaped Area. The Landscaped Area shall be used only for the ongoing maintenance and upkeep of landscape improvements, and for no other purpose. 3.2 Offensive Activities: Nuisance. No noxious or offensive activities shall be carried on, . upon or within the Landscaped Area, nor shall anything be done or placed thereon which may be or become a nuisance, or cause a disturbance, or hazard or annoyance to any Owner. bowen covenant4final.frm 3 3,3 No Walls. Fences or Barriers. Except as otherwise agreed by all Owners, no walls, fences, partitions or barriers of any kind shall be constructed or erected by any person within the Landscaped Area. ARTICLE 4 EASEMENTS 4,1 Owners' Easements. Every Owner shall have a non exclusive right and easement of access in and to the Landscaped Area, but only for the purpose of carrying out the requirements of this Declaration. 4.2 Declarant Easement. Declarant shall have a non exclusive right and easement of access for maintenance and upkeep in and to all portions of the Landscaped Area. 4.3 Appurtenant. The easements reserved or granted pursuant to this Declaration shall be appurtenant to the Affected Parcels and shall be a servitude upon the Remainder Parcels. ARTICLE 5 SUCCESSORS IN INTEREST 5.1 Successors Bound. This Declaration is for the benefit of and shall apply to and bind each of the Owners hereto and each and all of their respective heirs, successors, assigns, grantees, and mortgagees during the period of their respective interests in the Affected Parcels and the Remainder Parcels. The rights of Declarant under this Declaration shall inure to the benefit of, and may be exercised by, the successors, assigns, and nominees of Declarant. 5.2 Transfer of Interest. Ri~hts. Powers and Obli~ations. In no event shall the rights, powers and obligations conferred upon the Owners hereto pursuant to this Declaration be at any time transferred or assigned by either of the Owners except through a transfer of the Owners I respective interests in their respective Affected Parcels and Remainder Parcels, and then only to the extent provided in this Declaration. ARTICLE 6 RUNNING COVENANTS: EQUITABLE SERVITUDES This Declaration is intended to be for the mutual benefit of the Owners and their successors-in-interest. All the covenants, restrictions, and easements in this Declaration shall run with the Affected Parcels and the Remainder Parcels, and shall be binding upon all persons who now or hereafter any right, title or interest in said such Parcels or any part thereof and shall be for the joint and several benefit of all such persons. bowen covenant4final.frm 4 All the provisions of this Declaration shall be enforceable as equitable servitudes and shall constitute covenants running with the land pursuant to applicable laws, including, but not limited to, Section 1468 of the California Civil Code. ARTICLE 7 MISCELLANEOUS 7.1 Attorneys' Fees. In the event Declarant or any Owner commences any action or proceeding relating to this Declaration or any default hereunder or to recover reimbursement of sums advanced pursuant to this Declaration (including, without limitation, any action filed by Declarant or any Owners to seek reimbursement pursuant to Section 2.2 above), the prevailing party in such action or proceeding shall be entitled to reasonable attorneys' fees and related legal costs, 7.2 Shall Not Defeat Mort~alle. A breach of any of the terms, conditions, covenants and restrictions of this Declaration shall not defeat or render invalid the lien of any mortgage made in good faith and for value. 7.3 Default Shall Not Permit Termination of Declaration. No default under this Declaration shall entitle any Owner to cancel, terminate, default or rescind this Declaration, but this limitation shall not affect any other rights and remedies, at law or in equity, that the Declarant or any Owners may have by reason of any default under . this Declaration. 7.4 Term. This Declaration shall remain in full force and effect until fifty (50) years from the date hereof, and shall automatically be extended for successive ten (10) year periods unless terminated by a written agreement between City of Campbell and the Owners. 7,5 Amendment. This Declaration may be amended only by a written instrument signed and acknowledged by the Declarant and the Owners, and recorded in the Office of the County Recorder of Santa Clara County. 7.6 Severability. The tentative map should only have six lots for purposes of sale, lease, fInancing, ownership and taxation. If the tentative tract map were to be approved and the fInal map recorded as depicted on the tentative tract map to be considered by the City Council, potential scenarios include: 1. Sale of Lots lA, 2A, 3A and 4A to others, 2. Reversion of Lots lA, 2A, 3A and 4A to the State because of unpaid property taxes. For either scenario, the landscape might not be maintained and the neighborhood could deteriorate.
