RESOLUTION NO. 9809
A RESOLUTION OF THE CITY OF CAMPBELL
CITY COUNCIL AUTHORIZING EXECUTION OF A DISPOSIT ON AND
DEVELOPMENT AGREEMENT WITH GREEN V ALLEY CORPO TION (dba:
BARY SWENSON BUILDER). MAKING SPECIFIED FINDINGS REL TED TO THE
REDEVELOPMENT OF 25,640 SQUARE FEET WITHIN THE CAMP ELL AVENUE
MASTER DEVELOPMENT SITE.
WHEREAS, the City of Campbell Redevelopment Agency Board (he "Agency") is
charged with implementing the Second Amended and Restated C ntral Campbell
Redevelopment Plan (the "Plan") as amended; and
WHEREAS, on April 18, 2000 the Agency adopted Resolution 2 00-4 creating the
Campbell Avenue Master Developer Site consisting of approximately seven p operties equaling
63,800 square feet with the intent of facilitating the development of a ne public parking
structure and commercial development; and
WHEREAS, on August 1, 2000 the Agency adopted Resolution 20 0-11 designating
Green Valley Corporation (dba Barry Swenson Builder - the "Develo er") the master
developer for approximately 25,640 square feet of the master developer s' e (the "Site") to
develop a mixed use commercial project (the "Project").
WHEREAS, the Agency desires to enter into a Disposition nd Development
Agreement (the "DDA") with the Developer to cause redevelopment of the ite into a 30,000
square foot mixed use retail and office development and the Developer agr es to develop the
Site in accordance with the DDA substantially in the form on file with the Ci Clerk.
WHEREAS, redevelopment of the Site pursuant to the D serve
Redevelopment Plan goals and objectives through redevelopment of n conforming and
blighted properties and enhancing the physical environment of the Project Area through the
construction of new, conforming commercial buildings and new infrastructur .
WHEREAS, the DDA provides for disposition of the Site to the De eloper only if the
City, in its discretion, grants specified land use entitlements (the "PIa ing Approvals")
including Site and Architecural approval, conditional use permit and parking xception; and
WHEREAS, the Agency has placed on file a copy of the DDA and t e summary called
for in Health and Safety Code Section 33433 and has made the DDA and he Section 33433
Report available for public inspection and copying; and
WHEREAS, the of Campbell Planning Commission has adopted a r solution pursuant
to Government Code Section 65402 finding that the proposed use of the Sit for the proposed
Project is consistent with the General Plan; and
WHEREAS, the City of Campbell City Council has conducted a d ly noticed public
hearing on the DDA pursuant to Health and Safety Code Section 33433 ~ r the purpose of
receiving comments from the public on the DDA, and
WHEREAS, the City Council has made findings required by Healt and Safety Code
Section 33433 and has granted consents as required in connection with the A ency approval of
the DDA; and
WHEREAS, a Mitigated Negative Declaration and mitigation m nitoring program
was adopted by the Agency Board on November 6, 2000 in consideration f a resolution of
necessity to build the Project and serves as the environmental document tion in the City
Council's consideration of the DDA in accordance with the California Envi onmental Quality
Act (CEQA), the State CEQA Guidelines and the Local CEQA Implement" g Guidelines, in
connection with consideration of the DDA; and
WHEREAS, by staff report accompanying this Resolution and inc rporated into this
Resolution by this reference (the "Staff Report") the City Council has be n provided with
additional information upon which findings and actions set forth in this Resol tion are based.
NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS;
1. That the City Council finds that the above recitals are accurate
2. The City Council hereby finds that the Mitigated Neg tive Declaration
(Attachment 4 to the Staff Report) adopted by the Agency Bo rd on November
6, 2000 by Resolution 2000-18 (Exhibit A of this Resoluti n) serves as the
environmental documentation in consideration the DDA and further finds that
there is no substantial evidence that the implementation or app oval of the DDA
with the mitigation measures will have a significant effect 0 the environment
and that these findings are made in compliance with Sections 15073 and 15074
of the State CEQA Guidelines and Section 21083 and 21 87 of the Public
Resources Code.
3. Pursuant to Health and Safety Code Section 33433, the Ci Council hereby
finds that the consideration to be given by the Developer for he fee interest to
be transferred under the DDA is not less than the fair ma ket value of the
property based on a fair market appraisal and the facts stat d in the Section
33433 Summary Report as summarized:
a. The Agency has a fair market appraisal prepared by a c rtified real estate
appraiser of the property to be sold to the developer;
b. The Developer agrees to pay the Agency what it must ay to acquire the
Site.
4. Pursuant to Health and Safety Code Section 33433, the Cit Council hereby
finds that the conveyance of the Site pursuant to the D A will assist in
elimination of blight in the Project Area and is con istent with the
implementation plan adopted pursuant to Health and Safety Co e Section 33490.
These findings are based on the facts and analysis set forth in he Section 33433
Summary Report and the Staff Report accompanying this Reso ution, which may
be briefly summarized as follows:
a. The Project will eliminate dilapidated, older bui dings that have
exhausted their economic life as well as eliminating th blight of failing
improvements and vacant, infill property in the he rt of downtown
Campbell.
b. The Project will result in the development of comprehensive
development that will continue the urban design and de elopment pattern
established with the Gateway project and Stoddard' currently under
construction. This "mainstreet" approach is consiste t with the City's
Downtown Development Plan and is significant in maintaining the
continuity of continuous development along the street hat is essential to
a successful downtown revitalization program.
c. The Project is being planned concurrently with the plans for a new
downtown public parking structure that is immediate y adjacent to the
Project and within the Campbell Avenue Master Dev loper Site. The
coordination of these projects helps to take advantag of economies of
scale by using joint utilities, coordinating pedestria access, use of
landscaping and overall site planning.
5. Pursuant to Health and Safety Code Section 33433, the Cit Council hereby
approves the DDA and all ancillary documents; approves xecution by the
Agency of the DDA and all ancillary documents in substantial y the form on file
with the City Clerk, with such changes as are approved by the Agency signatory
and approves the grant of the Site by the Agency pursuant to the provisions of
the DDA, including the condition that the Developer first 0 tain the Planning
Approvals (which may be granted or denied in the City's poli y discretion.) The
DDA requires the Developer to comply with mitigation measu es set forth in the
environmental assessment and the City Council hereby ado ts the monitoring
program as set forth.
6. Nothing in this resolution shall affect the City Council's po icy discretion III
granting or denying the Planning Approvals.

BOARD ADOPTING A MITIGATED NEGA TIVE DECLARATION IN OMPLIANCE
WITH THE CALIFORNIA ENVIRONMENTAL QUALITY ACT( EQA) IN
CONSIDERATION OF THE ADOPTION OF A RESOLUTION OF N CESSITY TO
ACQUIRE PROPERTY WITHIN THE CAMPBELL A VENUE MASTE DEVELOPER
SITE FOR DEVELOPMENT OF A PUBLIC PARKING FACILI Y AND
COMMERCIAL DEVELOPMENT CONSISTENT WITH THE GALS AND
OBJECTIVES OF THE CENTRAL CAMPBELL REDEVELOPME T PLAN.
\VHEREAS, on April 18, 2000 the Agency adopted Resolution 2000 'designating a
1.46 acre area bound by Campbell Avenue, Civic Center Drive, Second and hird Streets as
the Campbell A venue Master Developer Site for the purpose of planning a 30 space parking
facility and 30,000 square foot conunercial development (the "Site"); and
\VHEREAS, the City of Campbell Redevelopment Agency Board (the "Agency")and
the City of Campbell City Council (the "City") jointly approved the conceptu I design of a
new downtown parking facility and adopted Resolution No.9669 and RDA Re olution 2000-3
3dopting a Mitigated Negative Declaration on April 18, 2000 and
\YHEREAS, on August 1, 2000 the Agency designated Green Valley orporation
(Barry Swenson Builder) the master developer for the conunercial component f the Site.
\VHEREAS, an Initial Study and environmental assessment has been p epared by LSA
En\'ironmental Consultants in compliance with the California Environmental uality Act
(CEQA) to address potential environmental impacts that may be associated wit the build-out
of the commercial component of the Site; and
\YHEREAS, the Agency serves as the "Jead agency" under CEQA in t e preparation
of the en\'iromnental assessment and adoption of the Mitigated Negative Decla ation; and
\VHEREAS, through this resolution, the Agency desires to comply wi the state
CEQA Guidelines and the Public Resources Code in consideration and approv I of the
i\litigated Negative Declaration: and
WHEREAS, the Initial Study and environmental assessment identify significant
envirOllli1ental impacts as a result of this action or projects contemplated on th acquired
propertles.
NOW, THEREFORE, BE IT RESOLVED: that:
1 . The Agency, fmds in its independent judgment, that the Initial Stud and
environmental assessment has been completed in compliance with EQA and that in
conjunction with Resolution 2000-3, incorporated by reference, the e is no
substantial evidence that the property acquisition contemplated with this action and
the projects that will be carried out on the acquired properties will ve a significant
effect or: the environment, and these findings are made in complian e with Sections
15073 and 15074 of the State Guidelines and Sections 21083 and 2 087 of the
Public Resources Code.
2. The custodian of the documents and other material that constitute record of
decision relating to this matter and constitute the record of proceedi gs relating to
this matter is the Agency Secretary whose address is 70 North First Street
Campbell, California 95008.
3. The Agency hereby adopts the reporting and monitoring program p epared by LSA
Environmental Consultants in conjunction with the initial study and environmental
assessment.
