A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CAMPBELL
AWARDING A CONTRACT EXTENSION FOR VENDING SERVICES
AT VARIOUS CITY FACILITIES TO
CUSTOM VENDING SYSTEMS
WHEREAS, City of Campbell contracted with Custom Vending Services of
Campbell for the initial period of July 1, 2004 to June 30, 2007 to provide vending services
at various city facilities; and
WHEREAS, Custom Vending has been performing adequately, meeting nutritional
requirements for snacks provided, and provides prompt service when called; and
WHEREAS, Custom Vending Systems provides a commission of 21 % of gross
receipts and agrees to increase the Guaranteed Annual Minimum Commission by 3% to
$8450 per year; and
WHEREAS; the initial agreement provided options for up to two three-year
extensions; and
WHEREAS, there is one remaining three-year extension remaining;
NOW, THEREFORE, BE IT RESOLVED that the ~ City Council of the City of
Campbell hereby extends the contract for vending services at various City facilities to
Custom Vending Systems for a final three-year period, subject to a 3% increase in the
GAMC and authorizes the City Manager or his authorized representative to execute a
contract with Custom Vending Systems for the provision of these services.

ADDENDUM B
TO AGREEMENT FOR VENDING SERVICES
AT VARIOUS CITY FACILITIES
This addendum to the Agreement for Vending Services, dated May 18, 2004 between
the CITY OF CAMPBELL and CUSTOM VENDING SERVICES 498 Salmar Avenue
Campbell CA 95008, shall make the following changes to the existing agreement:
TERM OF AGREEMENT
Term of initial agreement: July 1, 2004 through June 30, 2007
First three-year extension: July 1, 2007 through June 30, 2010
Final three-Year extension: July 1, 2010 through June 30, 2013
During the term of this extension, all terms and conditions of the original agreement
shall remain in full effect and force, with the following exceptions:
5.2. GUARANTEED ANNUAL MINIMUM COMMISSION
Initial Guaranteed Annual Minimum Commission (GAMC): $7,500.
GAMC for the second three-year term: $8,200.
New GAMC for the final three-year term: $8,450, effective July 1, 2010.

this day of June, 2010.
