RESOLUTION N0. 7939
BEING A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF CAMPBELL AUTHORIZING EXECUTION OF AN AGREEMENT
WITH INFORMATION AND REFERRAL SERVICES, INC.
WHEREAS, the City requires specialized services for resolving
tenant/landlord disputes within the City of Campbell; and
WHEREAS, the City and Information and Referral Services, Inc. have
previously entered into an agreement for the provision of tenant/landlord
counseling and mediation services; and
WHEREAS, both parties wish to extend the agreement;
NOW, THEREFORE, BE IT RESOLVED that the City Council hereby authorizes
the execution of said agreement.

AGREEMENT
THIS AGREEMENT, made and entered into this 25th day of June ,
1990, by an between the CITY OF CAMPBELL, a Municipal Corporation of the
State of California (hereinafter referred to as "CITY"), and INFORMATION
AND REFERRAL SERVICES, INCORPORATED, a non-profit agency (hereinafter
referred to as "CONTRACTOR") for services related to resolution of
tenant-landlord disputes.
I. TERM
This Agreement shall commence on July 1, 1990 and terminate on
Jure 30, 1991. This Agreement may be extended on an annual basis if both
parties concur.
II. SCOPE OF SERVICES
A. Information and Conciliation
1. CONTRACTOR shall provide up-to-date information about
landlord and tenant rights. CONTRACTOR will respond to information
requests between the hours of 8:30 a.m. and 5:00 p.m. every weekday and
provide information about rental housing regulations and practices,
discuss alternatives to resolve disputes and provide referrals to other
organizations when appropriate.
2. CONTRACTOR shall provide conciliation which involves contact
with both parties to a dispute, usually by telephone, after the filing of
a petition. If a problem remains unresolved, CONTRACTOR will inform the
parties of their right to proceed to mediation.
B. Mediation
CONTRACTOR shall:
1. Assist staff in the recruitment and training of mediators.
2. Screen and assign cases to mediation when appropriate.
3. Attend all Fact Finding Committee meetings.
C. Recordkeeoing
CONTRACTOR shall:
1. Maintain accurate records of client requests and referrals
to mediation and provide monthly statistical reports on the number and
types of calls received, including an up-to-date log of cases assigned to
mediation and their disposition.
2. Develop and revise, as necessary, forms needed to implement
the program.
D. Evaluation
CONTRACTOR shall:
1. Work with City staff to review the current ordinance and
mediation procedures.
2. Provide an evaluation form for all parties involved at the
conclusion of each mediation.
III.
City agrees to compensate CONTRACTOR for services provided under this
agreement in an amount not to exceed TWENTY-THREE THOUSAND DOLLARS
($23,000.00). Compensation shall be based on the budget described in
Attachment A to this Agreement.
Payment by the City shall be made on a monthly basis after service is
delivered and upon billing by CONTRACTOR.
IV. EARLY TERMINATION
This Agreement may be terminated at any time by either party upon
thirty (30) days written notice to the other, delivered by certified mail.
Payment of CONTRACTOR shall be prorated to and include the day of
termination.
V. SUBCONTRACTS OF ASSIGNMENT
CONTRACTOR shall neither subcontract with others for any of the work
prescribed herein, nor assign any of CONTRACTOR'S rights acquired
hereunder without obtaining prior written approval from CITY.
No subcontracting or assignment, even with the consent of CITY, shall
relieve CONTRACTOR of its obligation to perform all the other obligations
to be performed by CONTRACTOR hereunder.
VI. ACCESS TO RECORDS
CITY shall have access to such documents, papers and records of
CONTRACTOR as are directly pertinent to this agreement for the purpose of
examination, audit and making transcripts.
VII. INTEGRATION
This document represents the entire and integrated agreement between
the parties and supersedes all prior written or oral discussions or
agreements. This document shall not be construed or deemed to be an
agreement for the benefit of any third party, and no third party shall
have any right of action hereunder.

Any modification of the provisions of this Agreement shall be reduced
to writing and signed by both parties.
IN WITNESS WHEREOF, CITY AND CONTRACTOR have executed this Agreement
